Pantri Terms of Service

Effective date: July 26, 2026

These Terms of Service ("Terms") are a binding agreement between you and Paya LLC, a Virginia limited liability company, located at 11166 Fairfax Blvd, Ste 500 #1139, Fairfax, VA 22030 ("Pantri," "we," "us," or "our"), governing your use of the Pantri mobile application and related services (the "Service").

PLEASE READ THESE TERMS CAREFULLY. They include important disclaimers about AI-generated content and recipe accuracy (Sections 9–10), a limitation of our liability (Section 12), your obligation to indemnify us (Section 13), and the governing law and dispute-resolution terms (Section 15).

By downloading, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service, and old enough to form a binding contract. If you are under the age of majority, you may use the Service only with the involvement of a parent or legal guardian who agrees to these Terms. By using the Service you represent that you meet these requirements.

2. Your account and household

  • Signing in. You create an account and sign in using one of the supported methods — Sign in with Apple, Sign in with Google, or an email one-time code. You are responsible for maintaining the security of the account and device you use to sign in and for all activity under your account.
  • One account per email; linked sign-in methods. Your Pantri account is identified by your email address. If you use more than one sign-in method with the same email address, they all access the same Pantri account and data. Because any method tied to your email address can access your account, keep your email account and each sign-in method secure. You are responsible for all activity accessed through any method associated with your email.
  • Households. The Service lets you create or join a shared "household." Content in a household is visible to and editable by all of its members. If you invite others to your household, you are responsible for those invitations and you authorize those members to access the household's content. Only invite people you trust. You can leave a household or remove members as provided in the app.
  • Accurate information. You agree to provide accurate information and keep it up to date.

3. The Service

Pantri helps you track pantry inventory and shopping lists, save and import recipes, plan meals, and interact with an AI kitchen assistant. Some features rely on artificial intelligence and on importing content from third-party sources. We may add, change, or remove features at any time.

4. License to use the app

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the Service on Apple devices you own or control, for your own personal, non-commercial use. This is a license, not a sale. We reserve all rights not expressly granted.

You may not, and may not permit anyone else to: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or disassemble the Service, except to the extent this restriction is prohibited by law; (c) rent, lease, lend, sell, sublicense, or otherwise commercially exploit the Service; (d) remove or alter any proprietary notices; or (e) use any robot, scraper, or automated means to access the Service or extract data (including the Explore recipe catalog) except as expressly permitted.

5. Subscriptions (Pantri Premium)

Certain features (including receipt import, recipe import, and the chat assistant) require a paid Pantri Premium subscription, offered as auto-renewing monthly and annual plans.

  • Billing through Apple. Subscriptions are sold and billed through your Apple ID account via Apple's In-App Purchase. Current prices, any free-trial or introductory offer, and billing terms are shown in the app at the point of purchase.
  • Auto-renewal. Your subscription automatically renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. Your Apple ID account is charged for renewal within 24 hours before the period ends.
  • Managing and cancelling. You can manage or cancel your subscription in your Apple ID account settings (Settings → your name → Subscriptions, or https://apps.apple.com/account/subscriptions). Deleting the app does not cancel a subscription.
  • Free trials / introductory offers. If offered, any unused portion of a free trial is forfeited when you purchase a subscription. Trial and offer eligibility is determined by Apple.
  • Refunds. Purchases are processed by Apple and are subject to Apple's refund policies. We generally cannot grant refunds directly; please request refunds through Apple.
  • Price changes. We may change subscription prices. Changes apply to future billing periods, and Apple will notify you and, where required, seek your consent before a renewal at a higher price.
  • Entitlement. Your access to premium features is determined by your verified subscription status. If your subscription lapses, is refunded, or is revoked, premium features may be disabled.

6. Your content

  • You own your content. As between you and Pantri, you retain ownership of the content you create or import in the Service — your inventory, shopping lists, recipes, meal plans, chat messages, images, and profile information ("User Content").
  • License you grant us. You grant Pantri a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, and display your User Content solely to operate and provide the Service to you and your household — including transmitting it to our AI service providers for processing (for example, to read a receipt, structure a recipe, or answer a chat request) and syncing it across your devices and household members. This license ends when you delete the User Content or your account, except for content retained in routine backups for a limited time or that you have shared with your household, and except as needed to comply with law.
  • We do not use your private User Content to create the shared "Explore" recipes. Global Explore recipes are generated independently by us (see Section 8).

7. Importing recipes and other third-party content — your responsibilities

Pantri lets you import recipes from websites and social apps (via the "Save to Pantri" share extension) and from photos. You are solely responsible for the content you import.

You represent and warrant that, for any content you import, save, upload, or otherwise add to the Service, you have the necessary rights and permissions to do so and that your use does not infringe or violate the intellectual property, privacy, or other rights of any third party.

Pantri stores imported recipes privately in your personal cookbook for your own personal, non-commercial use, and, for recipes imported from an identifiable source, links back to the original source to credit the creator. A recipe's functional elements — such as a list of ingredients or the basic steps of a procedure — are generally not protected by copyright, but creative expression (such as headnotes, narrative descriptions, and photographs) may be. You agree not to use the Service to reproduce or distribute others' copyrighted expression unlawfully. We respond to copyright complaints under our Copyright & DMCA Policy, and we may remove content and terminate repeat infringers.

8. Explore ("global") recipes and other Pantri content

The Service includes AI-synthesized recipes shared with all users in the Explore/Discover area ("Crafted by Pantri AI"), along with the app's design, text, graphics, logos, and the compilation, organization, and arrangement of recipes and other data ("Pantri Content").

  • Ownership. As between you and Pantri, Pantri and its licensors own the Pantri Content and all related intellectual property rights, including any rights in the selection, coordination, and arrangement of the Explore recipe catalog and database.
  • License to you. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to view and use the Explore recipes and other Pantri Content for your own personal, non-commercial cooking use, including saving an Explore recipe into your private cookbook. You may not scrape, bulk-download, republish, redistribute, or commercially exploit the Explore catalog or any Pantri Content.
  • AI-generated; provided "as is." Explore recipes are generated with AI and are provided for convenience without any warranty of accuracy, safety, or fitness — see Sections 9 and 10.
  • Trademarks. "Pantri," the Pantri logo, and related names and marks are trademarks of Pantri. You may not use them without our prior written permission.

9. Artificial intelligence — accuracy disclaimer

Pantri uses AI to parse receipts and recipe images, generate Explore recipes, and power the chat assistant. AI output can be inaccurate, incomplete, outdated, or wrong. For example, a scanned receipt or recipe may be misread, quantities or ingredients may be incorrect, calorie and nutrition figures may be wrong, and the assistant may produce mistaken suggestions. You are responsible for reviewing and verifying any AI-generated content before relying on it. Do not treat AI output as professional advice.

10. Food, allergen, health, and safety disclaimer

Read this carefully. Recipes, ingredient and nutrition information, expiry/date tracking, and dietary or preference features in the Service — whether created by you, imported from third parties, or generated by AI — are provided for general informational purposes only and may be inaccurate or incomplete.

  • Not professional or medical advice. The Service does not provide medical, nutritional, dietary, or food-safety advice and is not a substitute for consulting a qualified professional. Consult a doctor, dietitian, or other professional for advice specific to you, especially regarding allergies, medical conditions, pregnancy, or children.
  • Nutrition and calorie estimates. Any calorie or nutrition figure shown in the Service is an estimate, not a nutrition label, and we do not verify it. Figures reach the Service two ways. When you import a recipe whose source publishes its own nutrition information, we may carry that figure across as published, without checking it. Otherwise — including for Explore recipes — the figure is calculated by AI from the listed ingredient quantities and the recipe's stated number of servings. Neither route has been reviewed by a nutrition professional or evaluated by the U.S. Food and Drug Administration. Actual values vary with the brands and products you use, how you measure, substitutions, your real portion size, and how much of an ingredient you actually eat rather than discard — a marinade or frying oil, for example. Per-serving figures also depend on the serving count stated in the recipe, which may itself be approximate. If a number matters to you — for weight management, diabetes, or any other medical or dietary reason — calculate it yourself from the ingredients you actually use, or ask a licensed professional. Do not rely on the figures shown here.
  • Allergens and dietary restrictions. Do not rely on the Service to determine whether a food is safe for you or free of allergens. Dietary-restriction and preference settings are aids, not guarantees. Always check actual product labels and ingredients.
  • Food safety and expiry. Expiry dates and "needs attention" indicators are estimates and reminders only. Use your own judgment and follow proper food-safety practices; do not consume food that is unsafe.

You use recipes and food-related information at your own risk.

11. Acceptable use

You agree not to, and not to allow anyone to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Upload, import, or share content that infringes intellectual property or other rights, or that is unlawful, defamatory, obscene, harassing, or otherwise objectionable;
  • Upload malware or attempt to gain unauthorized access to the Service, other accounts, or our systems;
  • Interfere with, disrupt, overload, or circumvent the security or usage limits of the Service (including AI usage budgets);
  • Scrape, harvest, or use automated means to access the Service or extract its content except as expressly permitted; or
  • Reverse engineer, resell, or commercially exploit the Service or any Pantri Content.

We may investigate and take appropriate action, including removing content and suspending or terminating accounts, for any violation.

12. Disclaimers and limitation of liability

"AS IS." To the fullest extent permitted by law, the Service and all content are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Service will be uninterrupted, error-free, secure, or that any content (including AI output and imported recipes) will be accurate, safe, or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

Limitation of liability. To the fullest extent permitted by law, Pantri and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or for personal injury or illness, arising out of or relating to your use of (or inability to use) the Service or any content, even if we have been advised of the possibility. To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) US $50. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

13. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Pantri and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content or content you import (including any claim that it infringes or violates a third party's rights); (b) your use or misuse of the Service; (c) your violation of these Terms; or (d) your violation of any law or the rights of a third party.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if we are required to by law, or if we discontinue the Service. Sections that by their nature should survive termination (including content licenses you granted for retained/shared content, disclaimers, limitations of liability, indemnification, and dispute resolution) survive.

15. Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules.

You and Pantri agree to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Virginia for any dispute, and you consent to personal jurisdiction there. Nothing here limits any non-waivable rights you have under the mandatory law of your country of residence.

16. Apple-specific terms

These Terms are between you and Pantri only, not with Apple, and Apple is not responsible for the Service or its content. This license to use the app is a "Licensed Application" license granted to you and limited to Apple-branded products you own or control, as described in Apple's standard Licensed Application End User License Agreement, which applies except where expanded by these Terms; if there is a conflict, these Terms govern to the extent permitted.

You further acknowledge and agree that:

  • Maintenance and support for the Service is our responsibility, not Apple's. Apple has no obligation to provide any maintenance or support.
  • Warranty. To the maximum extent permitted by law, Apple has no warranty obligation for the Service. If the Service fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); otherwise, Apple has no other warranty obligation, and any other claims are our responsibility.
  • Product claims. We, not Apple, are responsible for addressing any claims relating to the Service, including product-liability, legal or regulatory non-compliance, and consumer- protection claims.
  • Intellectual property. In the event of any third-party claim that the Service infringes that party's intellectual property rights, we, not Apple, are responsible for the investigation, defense, settlement, and discharge of the claim.
  • Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.
  • Contact. Questions, complaints, or claims about the Service should be directed to info@paya.llc, Paya LLC, 11166 Fairfax Blvd, Ste 500 #1139, Fairfax, VA 22030.

17. Feedback

If you send us ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation or compensation to you.

18. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Effective date" and, where appropriate, provide notice in the app or by email. Your continued use of the Service after an update means you accept the revised Terms.

19. Miscellaneous

These Terms and the Privacy Policy and Copyright & DMCA Policy are the entire agreement between you and Pantri regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only.
